Articles of Cohiba Club Atmosphere C.C.A. - Prague
Cl. I.
Cohiba Club Atmosphere - Prague, hereinafter referred to as C.C.A.-Prague, is an interest association of natural and legal persons, and the aim of this association is to unify pipe and cigar smokers and all people who are inclined to these activities.

The club resides at Kaprova 5/19, 110 00 Prague 1.

Founder
The ultimate authority of the club is the founder.
• Approves the budget for the next year.
• Approves the amount of the membership fee
• Debates the proposal of the club business termnation
• Decides about other issues, which are within Founder’s authority according to these Articles.
Board meeting is called by the board president at least once in three months.
Cont. 2)
Board
The board is an authority body elected by the Founder. Term in office is 1 year. A board member’s office may be promoted to an honorary office with unlimited duration according to his/her avail and merit to the club. Such appointment must be approved by the Founder. The board consists of at least 3 members. The chairman and vice-chairman is elected from this board. In case there are less than 3 members of the board during the term, the board can co-opt new board members into the board until the next board meeting. The board is an authority that manages the club functioning. The board executes and provides fulfilment of the Founder’s decisions, plan and club’s goals, including both financial and material provision for the club activities. The chairman calls board meetings at least once a quarter. The board decides about new members’ acceptation. The right to sign and act on behalf of the club comes under the authority of the Founder, chairman and vice-chairman.
Cl. IV
A member of the club can be every natural person older 18 years of age. An applicant completes the written application form and thus he/she agrees with the Articles of the club and he/she undertakes to observe them. A new member acceptance is decided according to the application form by the board. The Founder can set further conditions of acceptance for such club candidate. Membership requirement is to pay the membership fee apart from the honorary membership matter. Each member obtains C.C.A.-Prague certificate and a member’s plastic card with own registration code, this card is untransferable and entitles its holder to enter the C.C.A.-Prague premises and to use the advantages offer according to the Appendix.

MEMBERSIP FEES CONSIST OF
ENTRY FEE
It is an entry fee that is due 30 days from the announcement about a new club member acceptance. The payment is made only once regardless of the club membership length. The entry fee is 20.000 CZK including VAT.
MEMBERSHIP FEE
Every member is obliged to pay the membership fee regularly once a year. The fee is 5.000 CZK including VAT for a natural person a year. The membership fee is due 30 days from the new member acceptance in the year when the membership commenced; the following years the payment is made until the end of January in the next calendar year. In case the membership fee is not paid until the stated date, the membership terminates automatically or does not begin at all.
The membership documents are a membership card and certificate, which are given to the member after the fee has been paid and it is also the proof of payment at the same time.
The price of own box rent (humidor), which has the ideal humidity and temperature for cigars preservation, is 5.000 CZK a year. The humidor-holder can store cigars, other accessories or cognac bottles purchased from C.C.A.-Prague, in his/her locked box. The amount of the boxes is limited.
Cl. VI.
THE MEMBERSHIP TERMINATES
• The membership fee has not been paid
• Death of the member
• Legal person termination
• The member is excluded because of serious violation of the club rules.
In case the membership is terminated during the calendar year, the former member does not have any claim to refund the proportionate part of the membership fee. The board decides about the exclusion of the member from the club. The membership of a member, whose exclusion from the club is being decided, is suspended until the board’s decision.
Cl. VII.
A member has the right to participate in the club’s activities, use its cultural and sport equipment and services related to them, particularly to use the privileges for the club members. Every member should observe the Articles and other accepted club documents; follow the club authorities’ decrees and the Founder’s decisions. To announce all changes that have the impact on the member’s record keeping, particularly the permanent address, telephone or fax change.
Cl. VIII.
The Founder decides on the club termination. In case the number of members is less than 3, there is no need to call the board meeting.
Cl. IX.
These Articles are valid from the day of their approval by the founding members meeting and the Articles come into force by the day of the club registration.
Cl. X.
Only members of the club are allowed to enter the C.C.A.-Prague premises, maximally with 1 person accompanied and in formal dress. (entry in shorts, working or sport clothes may not be allowed)
Cl. XI.
If there are more than 1 person along with the club member, the club management must be informed in advance. If possible, the management prepares a reservation at C.C.A.-Prague, because the capacity is limited according to the number of seats.
